Coach Agreement with Coach Theory

This agreement outlines the terms and expectations for coaches providing services through the Coach Theory platform. By registering as a coach on Coach Theory, you agree to the following terms.

1. Coaching Scope

As a coach on Coach Theory, you agree to provide professional coaching services to clients matched with you through the platform. Coaching sessions should focus on helping clients gain clarity, explore their goals, and move forward on topics that matter to them. Coaching is not therapy, counseling, or medical advice, and you agree not to represent it as such.

2. Session Conduct

You agree to maintain professional standards during all sessions conducted through Coach Theory. This includes being punctual, prepared, and respectful in all client interactions. You will conduct sessions in a private, quiet environment suitable for confidential conversation. Coach Theory reserves the right to remove coaches who do not meet our standards of professional conduct.

3. Confidentiality

You agree to keep all client information strictly confidential. This includes personal details, session content, and any information shared during coaching conversations. You may not disclose client information to any third party without the client's explicit written consent, except where required by law.

4. Session Recording

All sessions conducted through Coach Theory are recorded. By using the platform, you consent to the recording of all coaching sessions. Recordings may be reviewed by Coach Theory staff or AI systems for quality assurance, coach development, and safety purposes. Coaches may not separately record sessions outside of the platform's built-in recording system.

5. Data Handling

You agree to comply with Coach Theory's Privacy Policy regarding the handling of client data. You will not store, copy, or transfer client personal information outside of the Coach Theory platform. Any breach of client data will be treated as a violation of this agreement and may result in immediate termination.

6. Indemnification

You agree to indemnify and hold harmless Coach Theory, its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses arising out of or related to your coaching services, your breach of this agreement, or your violation of any applicable law or regulation. This indemnification obligation survives the termination of this agreement.

7. Termination

Either party may terminate this agreement at any time with written notice. Coach Theory reserves the right to immediately suspend or terminate your account if you violate these terms, engage in unprofessional conduct, or fail to meet the platform's quality standards. Upon termination, you must cease all use of the Coach Theory platform and any client data obtained through it.

8. Jurisdiction

This agreement shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions. Any disputes arising from this agreement shall be resolved in the courts of the State of Oregon.

9. Severability

If any provision of this agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
